Terms of Service
These Terms of Service ("Terms") govern the relationship between Ulinko LLC ("Ulinko", "we", "us") and any client or visitor ("you") who uses this website or engages Ulinko's services. By using this site or proceeding with an engagement, you agree to these Terms.
1. Services
Ulinko provides China-based sourcing, procurement, quality inspection, logistics coordination, and related services as described on this website. The specific scope, deliverables, timeline, and fee for each engagement are agreed in a written proposal before work begins. The written proposal, once accepted by both parties, forms a binding agreement and takes precedence over these general Terms in the event of any conflict.
2. Fees and payment
All fees are flat-rate and quoted in advance. No work begins until a proposal is accepted and any applicable deposit is received. Payment terms are specified in each proposal. Late payments may result in work being paused until the outstanding balance is settled.
Ulinko does not accept commissions, referral fees, or payments of any kind from suppliers or factories. All compensation comes solely from clients.
3. Client responsibilities
You agree to provide accurate and complete information about your product requirements, target markets, and any relevant constraints. Delays or errors caused by incomplete or incorrect information provided by the client are not the responsibility of Ulinko.
4. Confidentiality
Ulinko treats all client information — including product specifications, tech packs, supplier lists, pricing, and business plans — as strictly confidential. A mutual non-disclosure agreement (NDA) is signed as standard before any project information is shared. Ulinko will not disclose client information to any third party except as strictly necessary to perform the agreed services (e.g. sharing a brief with a shortlisted factory under NDA).
5. Intellectual property
All product designs, specifications, and proprietary information you share with Ulinko remain your intellectual property. Ulinko will not reproduce, share, or exploit your IP for any purpose other than performing the agreed services.

6. Limitation of liability
Ulinko acts as an independent agent and intermediary. We are not a party to contracts between clients and factories, and are not liable for supplier defaults, manufacturing defects that occur after inspection, shipping delays caused by carriers, customs holds, or force majeure events.
To the maximum extent permitted by law, Ulinko's total liability for any claim arising from an engagement is limited to the fees paid by the client for that specific engagement.
7. No guarantee of results
While Ulinko has a strong track record and takes every reasonable step to deliver successful outcomes, sourcing and procurement involve third parties and variables outside our direct control. We do not guarantee specific outcomes such as minimum cost savings, specific lead times, or factory certifications, unless explicitly stated in a written proposal.
8. Termination
Either party may terminate an engagement by providing written notice. In the event of termination, the client is liable for fees covering work completed up to the date of termination. Any deposit paid for work not yet commenced will be refunded on a pro-rata basis, as specified in the relevant proposal.
9. Governing law
These Terms are governed by the laws of the jurisdiction in which Ulinko LLC is registered. Any disputes that cannot be resolved amicably will be subject to binding arbitration or the courts of that jurisdiction.
10. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the site after an update constitutes acceptance of the revised Terms.
